Welcome to GenVids, a service of PavePilot Inc. ("we," "our," or "us"). By accessing or using our website and/or services, you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these Terms, you may not use our services.

1. Acceptance of Terms

By creating an account or submitting your details for film generation and using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy.

2. Description of Service

GenVids provides an AI-powered film generation service. You supply a short written premise. Based on that premise we generate a story outline, still keyframes in a visual style you select, and then animated clips with voices, score and sound, which are assembled into a short film of approximately sixty seconds.

Generation is performed in stages, and you approve the still keyframes before any video is generated.

3. User Accounts

3.1 You must create an account to use our services. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.

3.2 You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

4. User Content and Rights

4.1 By submitting a premise, and any other text or images you choose to provide, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display this content solely for the purpose of providing our services to you.

4.2 You represent and warrant that you have all necessary rights to the content you provide and that it does not infringe on any third-party rights.

5. Intellectual Property

5.1 The AI-generated films we create are licensed to you for your use. You may not sell, sublicense, or redistribute these films without our express permission.

5.2 Our website, logo, and service are protected by copyright, trademark, and other laws. You may not use our trademarks or service marks without our prior written consent.

6. Prohibited Uses

You agree not to:

• 6.1 Use our service for any illegal purpose or in violation of any local, state, national, or international law
• 6.2 Violate or encourage others to violate the rights of third parties, including intellectual property rights
• 6.3 Upload or transmit viruses or other malicious code
• 6.4 Attempt to gain unauthorized access to our systems or interfere with the proper working of our service

7. Appropriate Use of Services

7.1 Rights to Your Material: You agree to use our film generation service only with premises and material you own or otherwise have the right to use. Generating content based on work you do not have the right to use is strictly prohibited.

7.2 Real People and Brands: You warrant that you will not use the service to depict a real, identifiable person, or to use a third party's brand, trademark or likeness, without the rights or permissions required to do so.

7.3 Misuse: Any attempt to use our service to create misleading, false, or deceptive content is strictly forbidden. This includes, but is not limited to, impersonating a real person or organization, or presenting generated footage as a genuine record of real events.

7.4 Consequences of Misuse: We reserve the right to terminate your access to our service and delete any content created through our platform if we have reason to believe you are using our service in violation of this clause. We may also take legal action if necessary to protect our interests and those of our legitimate users.

7.5 Reporting Misuse: If you become aware of any misuse of our service as described in this section, please report it immediately to info@pavepilot.ai.

8. Disclaimer of Warranties

Our services are provided "as is" without any warranty, express or implied. We do not guarantee that our services will be uninterrupted, secure, or error-free.

9. Limitation of Liability

To the fullest extent permitted by law, PavePilot Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of our services.

10. Indemnification

You agree to indemnify and hold PavePilot Inc. harmless from any claims, losses, or damages, including legal fees, resulting from your violation of these Terms or your use of our services.

11. Data Usage

During the Beta period, we reserve the right to use generated films and project content for promotional and analytics purposes. This usage may include, but is not limited to, user generations, marketing materials, showcasing product capabilities, and illustrative examples across our communication channels. By participating in the Beta, users acknowledge and consent to this limited promotional usage of their generated content.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting an announcement on our website or sending you an email.

13. Termination

We may terminate or suspend your account and access to our services at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Delaware, United States, without regard to its conflict of law provisions.
